 Introduction

These Terms of Service ("Terms") govern your access to and use of simplywhiteteeth.com  (the "Site"), including all associated content, functionality, and services (collectively, the "Services"), as well as your purchase of Simply White teeth whitening powder (the "Product") sold through the Site. The Site is operated by DigiAD Technologies Marketing & Research - FZCO ("DigiAD" "we," "us," or "our").

These Terms constitute a legally binding agreement between DigiAD Technologies Marketing & Research and you, the individual or entity accessing or using the Services ("You" or "Your").

By accessing or using the Services, You confirm that You have read, understood, and agree to be bound by these Terms. Additionally, You represent and warrant that You are of legal age to form a binding contract and have the full legal authority to bind yourself and any other entity on whose behalf You are using the Services to these Terms. If You do not have the authority to do so, or if You do not agree with any of these Terms, You must not use the Services or access the Site.

We reserve the right to modify these Terms at any time. When We make changes, We will update the "Last Updated" date at the top of these Terms. You are responsible for reviewing these Terms periodically. Your continued use of the Services after any modifications signifies Your acceptance of the revised Terms. If You do not agree to the new Terms, You must stop using the Services.

1.Description of Services

We provide various products and services through the Site and our affiliated channels. These Services include, but are not limited to, a teeth whitening powder (the "Product").

We reserve the sole right to modify or discontinue any aspect of the Site or Services at any time, with or without notice to You. We are not liable to You or any third party for exercising this right. Modifications may include changes to the pricing structure, the introduction of new fee-based Services, or adjustments to file size limitations. Any new features that augment or enhance the current Services will also be subject to these Terms.Product availability is subject to change without notice. We reserve the right to discontinue any Product at any time.

We reserve the right to refuse, reject, cancel, or limit any order at Our sole discretion, including but not limited to cases involving suspected fraud, pricing or listing errors, suspected unauthorized resale activity, supply limitations, or violations of these Terms. If Your payment method has already been charged for an order that is cancelled, We will issue a refund of the amount charged in accordance with applicable law.

You acknowledge and agree that temporary interruptions of the Services may occur. Delivery dates and shipping timeframes provided on the Site are estimates only and are not guaranteed. We are not responsible for shipping delays caused by carriers, customs processing, import restrictions, weather events, supply chain disruptions, or circumstances beyond Our reasonable control. You also understand that We have no control over third-party networks You may access while using the Site. Therefore, any delays or disruptions in other network transmissions are outside of Our control.

You agree not to resell, redistribute, or commercially exploit the Product without our prior written consent. You also agree not to use the Product, Site, or any related materials to develop or market a competing product using Our proprietary branding, trade dress, confidential information, protected intellectual property, or marketing materials without Our prior written consent.

2.Registration Data and Privacy

To access certain Services on the Site, You may be required to complete an online registration form and provide specific information and data, which will be referred to as "Registration Data." By registering, You agree that all Registration Data You provide is true, accurate, and current, and You agree to promptly update it to ensure it remains complete and accurate.

You acknowledge that the information We collect through Your use of the Site, including Your Registration Data, is subject to Our Privacy Policy. Our Privacy Policy is incorporated by reference into these Terms and is available for Your review.

You also grant Us the right to disclose Your Registration Data to third parties only as necessary to provide the Services or as required by law.

We are committed to protecting Your personal data and handling it in accordance with applicable data protection laws in the jurisdictions where We operate and where Our customers are located. This includes, where applicable, the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, the California Consumer Privacy Act and California Privacy Rights Act (the "CCPA/CPRA"), and other US state privacy laws, as well as the EU General Data Protection Regulation (Regulation (EU) 2016/679) ("GDPR") and the UK General Data Protection Regulation ("UK GDPR") for users located in those jurisdictions.

By using the Site and providing Your contact information, You consent to receive electronic communications from Us, including transactional emails relating to Your orders, customer support inquiries, policy updates, and other notices relating to the Services. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

3.Payment Terms

If You purchase any Services that require a fee, You agree to pay all charges associated with that purchase. You authorize Us to bill Your provided payment method, such as a credit card, for all applicable fees. 

You agree to provide Us with accurate and complete billing information, including a valid credit card number, Your name, address, and telephone number. You must notify Us of any changes to this information within five (5) days of the change.

All payments must be successfully processed before Your order is fulfilled. If Your payment method is declined or fails for any reason, Your order will not be processed and no Product will be shipped. You are responsible for ensuring that the payment information You provide is accurate and that sufficient funds are available.

You are responsible for any customs duties, import taxes, VAT, or other governmental charges that may apply to orders shipped internationally unless otherwise stated on the Site. Failure to pay such charges may result in delays, non-delivery, or destruction of the shipment, for which We are not responsible.

 4.Intellectual Property Rights

All content on the Site, including text, product descriptions, photographs, graphics, logos, branding, and marketing materials (collectively, the "Content"), is owned by DigiAD Technologies Marketing & Research or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Subject to Your compliance with these Terms, We grant You a limited, non-transferable, non-sublicensable, and revocable license to access and view the Content for Your personal, non-commercial use of the Site. You may not copy, reproduce, modify, republish, upload, post, transmit, or distribute any Content for any commercial purpose without Our prior written consent.

Your purchase of the Product gives You ownership of the physical Product only. It does not grant You any rights to the Product's formulation, packaging design, branding, trademarks, or any related intellectual property. You agree not to reverse engineer, analyse, or attempt to replicate the Product's formulation.

Simplistic White and the Simplistic White logo are trademarks of DigiAD Technologies Marketing & Research. All other trademarks appearing on the Site are the property of their respective owners. Unauthorised use of any Content or trademark may violate copyright, trademark, and other laws and may subject You to civil and criminal penalties.

5.Acceptable Use

You agree not to:

• Use the Site or Services for any unlawful purpose or in violation of any applicable law or regulation;

• Interfere with or disrupt the operation or security of the Site;

• Attempt to gain unauthorized access to any portion of the Site, systems, or networks connected to the Site;

• Use automated systems, bots, scripts, scraping tools, or similar technologies to access, monitor, copy, or extract data from the Site;

• Upload, transmit, or distribute malicious code, viruses, or harmful software;

• Impersonate another person or entity or provide false information;

• Use the Site in a manner that could damage, disable, overburden, or impair the Services or Our infrastructure.

We reserve the right to suspend or terminate access to the Site or Services for violations of this section.

6.Intellectual Property Infringement

If You believe that any content on the Site infringes Your intellectual property rights, please contact Us at support@simplywhiteteeth.com with details of the alleged infringement, including identification of the protected work, the location of the allegedly infringing content on the Site, Your contact information, and a statement of Your good-faith belief that the use is unauthorised. We will review the claim and respond appropriately, which may include removing the content.

Any testimonials displayed on the Site represent the individual experiences and personal opinions of those who have used Our Services. You acknowledge that these are individual results, and outcomes will vary. We do not claim that the results shared in these testimonials are typical or that You will achieve similar results.

8.Disclaimer of Warranties

The Product and the Site are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, We disclaim all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except those warranties that cannot be excluded under the law of Your jurisdiction.

Nothing on the Site should be interpreted as a diagnosis, treatment recommendation, or guarantee of any medical or cosmetic outcome.

We make no representation that the Product will:

• Achieve any specific level of whitening

• Produce results comparable to professional dental treatments

• Be suitable for everyone, including those with sensitive teeth, gum disease, untreated cavities, exposed roots, dental restorations (such as crowns, veneers, bonding, or fillings), or other dental conditions

You acknowledge that results vary based on individual factors including starting tooth shade, oral hygiene, diet, lifestyle habits (such as smoking or consumption of staining foods and beverages), and the condition of Your teeth and gums.

Before using the Product, You should:

• Consult Your dentist if You have any dental concerns, dental work, sensitive teeth, gum disease, or are unsure whether the Product is suitable for You

• Read all ingredient and usage instructions carefully

• Discontinue use immediately and consult a healthcare professional if You experience irritation, sensitivity, allergic reaction, or any other adverse effect

The Product is intended only for individuals aged 18 or older, or minors using the Product under the supervision and consent of a parent or legal guardian where permitted by applicable law.

Pregnant or nursing individuals, and individuals with active dental conditions, should consult a qualified dental professional before using the Product.

For users in the European Union, United Kingdom, and other jurisdictions where consumer protection law provides mandatory warranties or guarantees (including the EU statutory guarantee of conformity), nothing in these Terms affects or limits Your statutory rights.

Regarding the Site, We do not warrant that access will be uninterrupted, secure, or free from errors, and We are not responsible for any damage to Your device or data resulting from Your access to or use of the Site.

8A.Product Use and Safety

The Product is intended for cosmetic use only and must be used strictly in accordance with any instructions provided on the Site, packaging, or accompanying materials.

You agree that:

• You will use the Product at Your own risk;

• You will not swallow the Product;

• You will discontinue use immediately if irritation, sensitivity, pain, allergic reaction, or other adverse effects occur;

• You will consult a dentist or qualified healthcare professional before use if You have dental work, sensitive teeth, gum disease, oral health concerns, or any medical condition that may affect Your use of the Product;

• You will keep the Product out of reach of children;

• You will not use the Product in a manner inconsistent with its intended cosmetic purpose.

The Product is not intended to diagnose, treat, cure, or prevent any disease or medical condition and does not constitute medical or dental advice.

Individual results vary and no specific whitening outcome or timeframe is guaranteed.

9.Limitation of Liability

For direct damages, Our aggregate liability arising out of or relating to these Terms, the Site, or the Product shall not exceed the total amount You paid for the Product giving rise to the claim. Where applicable law does not permit such a limitation, Our liability shall be limited to the maximum extent permitted by law.

Nothing in this section limits or excludes Our liability for:

• Death or personal injury caused by Our negligence or that of Our employees, agents, or contractors

• Fraud or fraudulent misrepresentation

• Gross negligence or willful misconduct

• Defective products under applicable product liability laws (including the EU Product Liability Directive and equivalent laws in other jurisdictions)

• Breach of mandatory consumer protection rights

• Any other liability that cannot be limited or excluded under applicable law

10.Indemnification

To the extent permitted by applicable law, You agree to indemnify, defend, and hold harmless,  DigiAD Technologies Marketing & Research, its officers, directors, employees, agents, and affiliates from and against any third-party claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your violation of these Terms;

• Your misuse of the Product, including any use that is contrary to the instructions provided or that causes harm to a third party;

• Your infringement of any intellectual property rights or other rights of any third party;

• Any fraudulent, illegal, or willfully harmful act by You in connection with the Site or the Product.

This indemnification obligation does not apply to the extent any claim arises from Our own negligence, willful misconduct, or breach of these Terms, or to the extent that such indemnification is prohibited by applicable consumer protection law in Your jurisdiction.

10A. Force Majeure

We shall not be liable for any failure or delay in performance caused by events beyond Our reasonable control, including but not limited to natural disasters, pandemics, labor disputes, war, terrorism, civil unrest, governmental actions, supply shortages, transportation interruptions, customs delays, power failures, internet outages, or failures of third-party service providers or carriers.

11.Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be severed from these Terms. The remaining provisions will remain in full force and effect. In such a case, the invalid or unenforceable provision will be replaced with a valid and enforceable provision that most closely reflects the intent of the original provision.

12.Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Dubai, without regard to its conflict of laws principles.

We encourage You to contact Us first at support@simplywhiteteeth.com to attempt to resolve any dispute informally. Most disputes can be resolved through direct communication, and We commit to engaging in good faith to find a fair resolution.

Subject to mandatory consumer rights below, any dispute arising from or relating to these Terms, the Site, or the Product that cannot be resolved informally shall be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates.

Consumer rights:

 If You are a consumer purchasing the Product for personal, non-commercial use, nothing in these Terms affects:

Your right to bring a claim in the courts of Your country of residence where applicable law gives You that right;

Your right to rely on the mandatory consumer protection laws of Your country of residence, including but not limited to those of the European Union, United Kingdom, and individual US states.

Intellectual property: Notwithstanding the above, We reserve the right to seek injunctive, equitable, or other appropriate relief in any court of competent jurisdiction to protect Our intellectual property rights, to prevent unauthorised use of the Site or Product, or to enforce confidentiality obligations.

 

13. Returns and Refunds 

 We want You to be satisfied with Your purchase. Our full Return and Refund Policy, which forms part of these Terms, is available at this link and sets out the specific conditions, timeframes, and processes for returns and refunds. Summary of key rights: If You are a consumer located in the European Union, You generally have the right to withdraw from Your purchase within 14 days of receiving the Product, in accordance with the EU Consumer Rights Directive (2011/83/EU). This right does NOT apply to Products that have been unsealed after delivery and are not suitable for return for hygiene or health protection reasons (Article 16(e) of the Directive). Because the Product is a personal oral hygiene product, once the seal has been broken, the right of withdrawal no longer applies.

If You are a consumer located in the United Kingdom, You have similar rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, subject to the same hygiene exception for opened Products.

If You are a consumer located in California, USA, You may have additional rights under California Civil Code Section 1723. Other US state consumer protection laws may also apply. To request a return or refund, please contact Us at support@simplywhiteteeth.com within the applicable time period and follow the steps set out in Our Return and Refund Policy.

Returns must be sent to the address provided in Our Return and Refund Policy. We recommend using a tracked shipping method as We are not responsible for returns lost in transit.

Refunds will be processed using the original payment method within the timeframe required by applicable law. Defective or damaged Products will be replaced or refunded in accordance with applicable consumer protection law and Our Return and Refund Policy.
